Chakredy® Level 3 Advanced Practitioner Training Terms of Use

I am so excited that you are interested in the Chakredy® Advanced Practitioner Training. Please read this information carefully.

The purpose of these Terms of Use is to set forth the details about the Chakredy® Advanced Practitioner Training so that you are clear as to the requirements for certification, the expectations of you, and the support/mentoring you can expect to receive from me in becoming a Chakredy® Certified Advanced Practitioner.

It is my desire to serve you whole-heartedly in this Program and Certification with love, support and guidance. I want you to be fully committed to this process as you learn tools and tips to help you lovingly and holistically serve your clients in your own healing practice.

By enrolling in the Chakredy® Advanced Practitioner Training, you are agreeing to these Terms of Use as they appear and are legally bound by them, whether or not you have read them. If at any time you do not agree with these Terms of Use, please do not proceed. We reserve the right to change these Terms of Use from time to time without notice to you and by participating in the Program, you are implicitly agreeing to these terms.

PROGRAM DESCRIPTION

The Chakredy® Advanced Practitioner Training (“Program”) will include access to materials, modules and training outlined below (“Program Materials”) so that you can learn the information and tools to assess energy in each chakra, recognize patterns and support energy shifts.

Your Program includes:

8 Weekly Modules released one week at a time (with integration weeks factored in after every two modules) - Each module contains 8-12 sections of videos and guided exercises, downloadable worksheets, charts, Client Resources, suggested practices, etc.
2 Pendulums - One clearing pendulum and one healing pendulum custom made with Swarovski crystals and intentionally chosen for you.
Practice Circle- Small group work to learn virtually with other members of the group
Weekly Live Group Calls (during module weeks) – To ask questions and speak directly with Alexis.

Guest Teachings - Hour long group calls with an Immersion guest teachers will be announced when program begins.
Private Facebook Group – To ask questions and interact with the community
Lifetime Access to the Program

CERTIFICATION REQUIREMENTS
To become a Chakredy® Certified Advanced Practitioner, you must have successfully completed The Chakredy® Level 3 Advanced Training Program and completed the following Certification requirements. To be eligible for Certification, it is required that you:

Complete all 8 Modules of the Program in their entirety (Learning platform will register the completion of modules upon review of all content per module.)
Demonstration of competency at the end of each section of each Module through a brief write-up and video submission. (Guidelines for each video submission, specific questions, and required demonstrations will be provided during the Program.)
Pass Live Exit Exam with Alexis Saloutos upon completion of all Modules.
Commit to using the Program, Program Materials, Certification and Certification Benefits in a legal and ethical manner, in good faith, and with positive intention at all times, honoring, upholding, and complying with all parts of these Terms of Use.
Provide a bio and photo to us.

CERTIFICATION BENEFITS
Upon successful completion of the Program and the Certification Requirements, Certification as a Chakredy® Certified Advanced Practitioner (“Certification”) gives you the right to:

Identify yourself as a Chakredy® Certified Advanced Practitioner.
Can incorporate Chakredy® advanced concepts into your client work.
Use the Chakredy® Certified Advanced Practitioner logo on your website and marketing materials.
Be included in our online Chakredy® Certified Practitioner Directory on our website.
Use the Program Materials identified as “Client Resources” in your own practice in accordance with these Terms of Use.
Access Chakredy® continuing education content for free (e.g., virtual workshops).
Virtual Graduation Ceremony one month after Immersion ends.
Lifetime access to Program.
Optional Printed Certificate (for an additional charge) stating you are a Chakredy® Certified Advanced Practitioner.

EXPECTATIONS
While enrolled in the Program and should you receive Certification, it is our expectation and your responsibility at all times to:

Respect and comply with all of these Terms of Use
Use all Program Materials only as intended and in accordance with these Terms of Use
Follow all branding guidelines provided for use of the Chakredy® Certified Practitioner logo and Program Materials, respecting all copyright and trademark rights
Exhibit kindness and respect to all members of the Program, including in the Practice Circles and private Facebook group, and be supportive of other students.
Not publicly or privately disparage us or the Program, Certification, Program Materials, brand or logo, or any other aspect of our business.
Ask any questions you may have as they arise (post coaching questions in the Facebook group and address all technical questions to our team).
Follow any licensure or scope of practice requirements at all times, and engage in the legal, proper and ethical care of your clients at all times.

COMMUNICATION
Should you have a question related to technology issues with the Program, you may send an e-mail to support@chakredy.com . For all Program and content-related questions, please post in the Facebook group. For inquiries of a personal or private nature, please contact us Mondays through Thursdays at alexis@chakredy.com. No phone or texts please. We do our best to reply to you, including in the Facebook group, within 24 hours during weekdays, and by the next business day after weekends and holidays.

INVESTMENT + PAYMENT
Program Investment:
Payment in Full. If paying in full, your investment is 1 payment of $5,500 and it is due in full at the time of registration in the Program. Payment may be made by credit card only.

Payment in Installments Option 1: If paying by installments, payment of the first installment of $1,000 is due at the time of registration in the Program, and each of the 5 subsequent installment payments of $1,000 is due and payable on a monthly basis from the date of enrollment. Payment may be made by credit card only.

Payment in Installments Option 2: If paying by installments, payment of the first installment of $400 is due at the time of registration in the Program, and each of the 15 subsequent installment payments of $400 is due and payable on a monthly basis from the date of enrollment. Payment may be made by credit card only.

Certification Fee: If Certification is granted, the Certification Fee is waived for your first year of Certification which begins on the date of the Virtual Graduation Ceremony and ends 364 days thereafter.

Printed Certificate Fee: If Certification is granted, should you choose to request a printed certificate stating that you are a Chakredy® Certified Practitioner, there is a separate printing fee of $50 payable at the time the request is made. (The printed certificate is not included in the Program Investment.)
 Authorization and Receipt: If paying by credit card, you give us permission to automatically charge your credit or debit card as payment for your Program for which you will receive an electronic receipt. For any installment payment, you give us permission to automatically charge your credit or debit card at the time it is due without any additional authorization. You agree that chargebacks are not permissible and we reserve the right to report them. 
Missed Payment: We understand that there are can be major life events or circumstances that prevent making payment on time, so we do allow you a 3-day grace period in which to make payment. However, if payment has not been received within that time frame, in our sole discretion, we reserve the right to stop your access to and participation in the Program and Certification immediately.

Refund Policy: We want you to be happy with your Program and Certification. However, because this is a small group and it is intended that anyone who signs up for the program and Certification will be committed and fully invested in the Program, we are not permitting any refunds or transfers. We have invested considerable time, energy, love and effort in your Program, so if you decide to withdraw for any reason whatsoever, you may do so, but please be aware that you still will remain fully responsible for the full cost of the Program and Certification, and no refunds or transfers of any kind will be provided.

CERTIFICATION RENEWAL TERM, FEE + BENEFITS
Certification Term: Your Certification Term is for a 1-year period.

Certification Renewal Term, Fee and Benefits: Upon expiration of your 1-year Certification 365 days after the Virtual graduation Ceremony, you may be granted a 1-year renewal upon payment of a Certification Renewal Fee of $100 which will be automatically charged to your credit card on file, and the completion of a Chakredy® Continuing Education Virtual Workshop. You will receive the same Certification Benefits as originally granted, and access to any updated Program Materials. Future Certification Renewal Benefits are subject to change at any time.

Certification Non-Renewal: Should you choose to not renew your Certification, you will lose your privilege to market and call yourself a Chakredy® Certified Practitioner and to use the logo, Program Materials, Client Resources, or be listed in the Chakredy® Certified Practitioner Directory. You will be required to immediately stop using the Program Materials immediately and you will have 30 days following the Certification Renewal due date to remove all logos and references from your website and all marketing materials to being a Chakredy® Certified Practitioner. You will have the right to state that you went through the Program as a part of your bio, but you may not in any way represent that you are currently a Chakredy® Certified Practitioner.

Certification Revocation:
Our expectation is that you will fully comply with the terms of this Agreement. However, we reserve the right to immediately terminate this Agreement and/or revoke your Certification and the provision of Certification benefits in our sole discretion if you:
· Violate or breach any of the terms of this Agreement
· Engage in illegal or unethical conduct
· Behave unprofessionally in a way that reflects poorly on our Program, Certification or us
· Use the Chakredy® Program, marketing, trademark, logo or materials in a way that is inappropriate or contrary to the terms of this Agreement
· Fail to comply with your local, county, state or federal laws

Should your Certification be revoked in our sole discretion for one of the above reasons, you will lose your privilege to market and call yourself a Chakredy® Practitioner and to use the logo, Program or be listed in our online directory. You will be required to immediately stop using the Program, including but not limited to the Facebook group and all materials, immediately and you will have 14 days following notice provided by us as to the revocation to remove all references to holding yourself out as a Chakredy® Practitioner on your website, with your clients, and in all marketing materials, social media and otherwise. You will have the right to state that you went through the Program as a part of your training in your bio, but you may not in any way represent that you are currently a Chakredy® Practitoner.

CONFIDENTIALITY
We will keep all information exchanged during the Program and Certification in strict confidentiality. We are prohibited from disclosing protected confidential information to anyone else without reason to know such information, except to team members or contractors who have a reasonable need to know such information, as when required by law, or upon written authorization by you.  

INTELLECTUAL PROPERTY RIGHTS
Our Limited License to You: This Program, Program Materials, Certification, Certification Benefits and all other information related to the Chakredy® Advanced Practioner Training and Chakredy® LLC, are the sole property of us and protected by copyright, trademark, and other intellectual property laws. All Program Materials and Certification Benefits are fully copyrighted, all rights reserved, including without limitation the content, layout, design, data, databases and graphics related to the Program and Certification, and Program Materials unless otherwise indicated. We are granting you a limited license with permission to use our intellectual property related to the Program and Certification in your business provided you do so with permission and restrictions in accordance with these Terms of Use. This means that you are purchasing the limited right to use all of the Program Materials and Certification Benefits exactly in the form and manner that is provided by us, unless otherwise specified. For the avoidance of doubt, all content obtained through us is our property, and you are granted a revocable, non-transferable license for limited commercial use only, limited to you only.

Trademarks and Copyrights: The trademarks and logos which are displayed in the Program, Program Materials, website and anything else related to the Program and Certification or Chakredy® LLC are logos and trademarks belonging to us. For our trademarks and logos for which you are granted permission to use, our trademark indicia must be included at all times. For our Program Mateirals, including .pdfs and templates, our copyright indicia must be included at all times. You may not use our Program Materials, logos, taglines, website content or any language relating to the Program, Certification or us in a manner that constitutes an infringement of our rights or that has not been authorized by us.

  Permissible Activities: The limited license that we are providing to you grants you the permission to do the following:

You may use the printed .pdfs and worksheets of the Program Materials that are labeled “Client Resources” with your clients but only exactly as is in the original documents, and: (1) you must retain the copyright indicia “© Chakredy® LLC” on the bottom of the footer of the documents at all times, (2) you must retain the original Chakredy® logo and branding, and (3) you may not change the content or add your own logos or branding information to the documents.
You have a limited license to use the Program Materials and Certification Benefits as provided to you by us in accordance with the directions we provide.
Upon Certification, you are permitted to use the Chakredy® Certified Practitioner logo that you will receive from us and add it to your website and other marketing materials. You agree to use this logo, taglines and any other language relating to the Program and Certification pursuant to the instructions as provided by us to you, and according to the limited license restrictions as set forth in these Terms of Use.

 Prohibited Activities and Information You Are Prohibited from Sharing with Others: You understand and acknowledge that the information obtained through your Program and Certification has been developed or obtained by us through the investment of significant time, effort and expense, and that this information is a valuable, special and unique asset of ours which needs to be protected from improper and unauthorized use.
 
When you enter this Program and/or obtain Certification, you expressly agree that you will not use our content in any way that is contrary to these Terms of Use. You agree that you are clearly and expressly forbidden from doing the following:

You may not change or alter the Chakredy® Certified Practitioner, logo, tagline, copyright, or trademark indicia, Program Materials (including Client Resources), or any other aspect of the Program in any way, and you may not remove any proprietary notices and indicia as set forth in these Terms of Use.  
You may not use Program Materials, including videos, audios, webinars, call recordings, Facebook group posts or comments or any other aspect of the Program Materials other than the documents labeled “Client Resources” in your own work or practice in any way as these are training materials for your own use, and specifically not for use with in any way with your clients, in commercial or business use, or in any other way that makes you money.
You may not alter or misrepresent the Program, Program Materials, Certification or Certification Benefits in any way as yours or in any way created by you. 
You are explicitly prohibited from training other licensed massage therapists, coaches, spiritual healers, holistic health care professionals or any other person in using the Program, Program Materials, assessment, theories, or any other aspect of the Program or Certification. Unless otherwise explicitly authorized in these Terms of Use, you may not duplicate or share the Program, Program Materials, Certification or Certification Benefits with any other person, and you are not authorized to train other licensed massage therapists, coaches, spiritual healers, holistic health care professionals or any other person or business how to use the Program or Certification for their own commercial or business use with their own clients. Anyone who intends to use the Program, Program Materials, Certification or Certification Benefits or any other aspect of the Program or Certification for his or her own commercial or business use is required to successfully complete the Program and Certification directly from us. If you obtain or receive knowledge that someone else intends or uses the Program and/or Certification for commercial or business use, you agree to notify us us immediately. Violation of this section may be considered theft or stealing, and therefore you would be acting without permission and directly contrary to, and in violation of, the limited license you have been granted through these Terms of Use.
You may not use any Program, Program Materials, Certification or Certification Benefits, or any portion thereof, in any way to make you money outside of the limited license you are being granted through these Terms of Use, such as in your own programs, services, products, or in an e-book, book that is self-published or published through a publishing company and/or online through kindle, amazon.com, nook, etc., regardless of whether you add your own unique material to it or not.
You are expressly forbidden from creating your own program or course that is identical or substantially similar to the Program, Program Materials, Certification and Certification Benefits for any business or commercial use. Because of the time, energy and effort required to develop the Program, Program Materials, Certification and Certification Benefits, if you do so, you may be considered to be stealing copyrighted, trademarked, and proprietary information that belongs to us, and you agree that we have the right to take legal action if desired. 
Except as specifically provided by us, you are prohibited from copying, editing, modifying or stealing any photos, collages, banners, text, descriptions and/or any other information produced by us describing, promoting or marketing contained on our website, sales pages, e-mail, video, or any other Program, Program Materials, Certification, Certification Benefits or correspondence belonging to us or that you may receive from us. By downloading, printing, or otherwise using Program, Program Materials, Certification or Certification Benefits for your own business in no way gives you any copyright or ownership rights of that material.

All rights not expressly granted in these terms or any express written license, are reserved by us.

Your License to Us: By posting or submitting any material (including, without limitation, comments, blog entries, photos and videos) to us via our website or social media, you are representing: (i) that you are the owner of the material, or are making your posting or submission with the express consent of the owner of the material; and (ii) that you are eighteen years of age or older. When you comment or post, you recognize that you are voluntarily sharing your thoughts and ideas, and you are granting us a limited license to use and/or display any of the material that you submit, in whole or in part, without seeking your permission around copyright, trademark, service mark and or/patent laws under relevant jurisdiction. We also reserve the right to identify you as the author of any of your postings or submissions by name, email address, or screen name, as we deem appropriate. You acknowledge that we have the right but not the obligation to use and display any postings or contributions of any kind and that we may elect to cease the use and display of any such materials, or any portion thereof, at any time for any reason whatsoever.

PERSONAL RESPONSIBILITY, DISCLAIMER + RELEASE OF CLAIMS
Personal Responsibility & Assumption of Risk: You acknowledge that you take full responsibility for your physical, mental and spiritual health and well-being, and that of your clients, and all of your choices, actions, and results made before, during and after your Program and Certification. We have used care in preparing the information provided to you through this Program and Certification and it is being made available to you for your informational and educational purposes only. You understand that you are expressly assuming all of the risks of the Program and Certification, whether or not such risks were created or exacerbated through Program and Certification, and you are solely responsible for the results experienced by you or your clients. You are required to use your own professional judgment and care when interacting with your clients and you are required to operate within any licensure requirements and scope of practice at all times. We are not responsible for your decisions, actions, failure to act, or results for yourself or your clients at any time.

Medical, Mental Health, and Religious Disclaimer: This Program, Program Materials, Certification, and Certification Benefits are not to be perceived as or relied upon in any way as medical, mental health, or religious advice. The information provided through the Program, Program Materials, Certification and Certification Benefits is not intended to be a substitute for professional medical advice, diagnosis or treatment that can be provided by your or your client’s own physician, nurse practitioner, physician’s assistant, therapist, counselor, mental health practitioner, massage therapist, religious clergy member, or any other licensed or registered health care professional. Earnings Disclaimer: You acknowledge that we have not and do not make any representations as to the health physical, mental, emotional, spiritual or health benefits, future income, expenses, sales volume or potential profitability or loss of any kind that may be derived as a result of your participation in this Program and Certification. We cannot and do not guarantee that you will attain a particular result, positive or negative, financial or otherwise, through the use of our Program, Program Materials, Certification and Certification Benefits and you accept and understand that results differ for each individual. We also expressly disclaim responsibility in any way for the choices, actions, results, use, misuse or non-use of the information provided or obtained through our Program, Program Materials, Certification and Certification Benefits. You agree that your results are strictly your own and we are not liable or responsible in any way for your results.

However, we cannot guarantee that your access will not be suspended or restricted from time to time, including to allow for repairs, maintenance or updates, although, of course, we will try to limit the frequency and duration of suspension or restriction. To the fullest extent permitted by law, we will be not be liable to you for damages or refunds, or for any other recourse, should our Program, Program Materials, Certification and Certification Benefits become unavailable or access to the them becomes slow or incomplete due to any reason, such as system back-up procedures, internet traffic volume, upgrades, overload of requests to the servers, general network failures or delays, or any other cause which may from time to time make our Program, Program Materials, Certification and Certification Benefits inaccessible to you.

Errors or Omissions: We make no warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information in our Program, Program Materials, Certification and Certification Benefits. Every effort has been made to present you with the most accurate, up-to-date information, but because the nature of scientific research is constantly evolving, we cannot be held responsible or accountable for the accuracy of our content. You acknowledge that such information may contain inaccuracies or errors and we are not liable for any such inaccuracies or errors to the fullest extent permitted by law.

 Limitation of Liability: Under no circumstances, including, but not limited to negligence, shall we, our agents or affiliates be liable for any direct, indirect, incidental, special or consequential damages that result from your, or your clients’, use, non-use or misuse of the Program, Program Materials, Certification and Certification Benefits even if we are advised beforehand of the possibility of such damages. To the fullest extent permitted by law, we expressly exclude any liability for any direct, indirect or consequential loss or damage incurred by you or your clients in connection with this Program, Program Materials, Certification and Certification Benefits in any way, including without limitation any liability for loss to you or your clients’ of income or revenue, loss of business, loss of profits or contracts, anticipated savings, loss of data, loss of goodwill, wasted time and for any other loss or damage of any kind, however and whether caused by negligence, breach of contract, or otherwise, even if foreseeable.

Indemnification and Release of Claims: We will not be held responsible in any way for the information that you request or receive through this Program, Program Materials, Certification and Certification Benefits. You fully and completely hold harmless, indemnify and release us and any employees, shareholders, directors, staff, consultants, agents, or anyone affiliated with us, from any and all liability, damages, causes of action, allegations, suits, sums of money, claims and demands whatsoever, in law or equity, that you ever had, now have or will have in the future against us, arising from your participation in or in any way related to the Program, Program Materials, Certification and Certification Benefits, unless arising from the gross negligence on our part.

OTHER IMPORTANT TERMS

Termination:We reserve the right in our sole discretion to refuse or terminate your access to the Program or Certification for any violation of the terms of these Terms of Use or otherwise in our sole discretion. In the event of cancellation or termination, you are no longer authorized to access the Program or any Chakredy® Facebook groups. In the event of cancellation or termination, you are no longer authorized to access the Program or Certification. Should you wish to terminate participation in the Program or Certification at any time, you are to notify us by e-mail support@chakredy.com. Upon termination by either of us, all of the terms of this Agreement, including Investment and Refund terms, will still apply in full force.

Entire Agreement, Assignment, and Waiver: These Terms of Use contains our entire agreement. You may not assign your rights or obligations under these Terms of Use to anyone else. In the event that any part of these Terms of Use is deemed unenforceable, the remaining portions of these Terms of Use shall be severed and remain in full force. The failure to enforce any provision of these Terms of Use shall not be construed as a waiver or limitation of the right to later enforce and compel strict compliance with every part of these Terms of Use.

Governing Law: These Terms of Use shall be construed according to the laws of the State of Washington and King County, Washington.

Dispute Resolution: It is hoped that should we ever have any differences, we could be able to work them out through e-mail correspondence. However, should a dispute ever arise between us, we agree now that we will submit to binding arbitration before a single arbitrator, selected jointly, in accordance with the American Arbitration Association Rules. Any judgment on an arbitrator’s award, if made, is binding and may be entered into any court having the appropriate jurisdiction. Prior to seeking arbitration, you must submit your complaint to me via e-mail. You understand and agree now that the only remedy that can be awarded to you through arbitration is full refund of your Payment made to date. No award of consequential or of any other damages may be granted to you. You recognize that you are agreeing to a modification of the statute of limitations such that any arbitration must be commenced within one (1) year of the date of the act, omission, or other conduct complained of as submitted by you in e-mail, or shall otherwise be forfeited forever. You also agree that should arbitration take place, it will be held in King County, Washington, and the prevailing party shall be entitled to all reasonable attorney’s fees and costs necessary to enforce these Terms of Use.

Non-Disparagement: In the event of a dispute between us, you agree to not engage in any conduct or communications, public or private, including on social media, to disparage the Program, Program Materials, Certification and Certification Benefits or us. Where requested by law or arbitration, of course, you are not prohibited from sharing your thoughts and opinions as a part of the legal process.
